These Authorized User Terms ("User Terms") are a legally binding agreement between you and Tenerwise LLC ("Tenerwise," "we," "us," or "our") governing your access to and use of the Tenerwise Services as an individual authorized by a childcare center, daycare, preschool, early-learning program, or other organization (the "Center").
By creating or activating an account, clicking to accept these User Terms, or otherwise accessing the Services after being presented with these User Terms, you agree to be bound by them. If you do not agree, do not access or use the Services.
Your Center has a separate agreement with Tenerwise governing the Center's use of the Services. These User Terms govern your individual use and do not make you personally responsible for the Center's subscription fees, commercial obligations, indemnification obligations, or regulatory responsibilities solely because you are an Authorized User.
"Services" means the Tenerwise web applications, mobile applications, features, modules, communications, and related services made available to you.
"Center Data" means information, records, content, files, messages, photographs, and other data submitted to, generated within, or processed through the Services by or on behalf of a Center.
"Family User" means a parent, guardian, or other family member authorized by a Center.
"Staff User" means an employee, contractor, administrator, or other personnel user authorized by a Center.
"Authorized User" means any individual authorized by a Center to access the Services, including Family Users and Staff Users.
Your access to Tenerwise is provided because a Center authorized your account. The Center determines your role, permissions, access to Center Data, and whether your access remains active. Tenerwise is a software provider — not the childcare provider, employer, medical provider, licensing authority, or payment creditor in the relationship between you and the Center.
You must have legal capacity to agree to these User Terms. If you access the Services as a Staff User, you must also satisfy the age, employment, authorization, and other requirements applicable to your role. A Center must not provide an account to an individual who is not legally permitted to use the Services in that role. Children enrolled in or receiving childcare services from a Center may not create or maintain Tenerwise accounts.
You must keep your credentials confidential, use only your own account, promptly report suspected compromise, and follow reasonable authentication and security requirements. You may not share credentials, access another person's account, or attempt to view information outside the scope of your permissions.
You may use Tenerwise only for legitimate Center, childcare, family, or administrative purposes authorized by the Center. You may not misuse the Services, interfere with security, scrape or bulk extract data, harass or harm another person, upload unlawful or infringing content, impersonate another person, or use the Services to make an unlawful or solely automated significant decision about an individual.
Tenerwise provides administrative and communication tools. It does not supervise children, certify licensing compliance, provide medical advice, verify medication dosage, determine pickup authority, or provide emergency services. Attendance, staffing, ratio, health, medication, incident, and alert information may depend on data entered by users and may be incomplete, delayed, or incorrect. You must independently follow the Center's safety, supervision, licensing, health, medication, pickup, and emergency procedures.
Messages, announcements, photos, records, and updates within Tenerwise may be created by the Center or other Authorized Users. Tenerwise does not independently verify every communication. Do not use ordinary Tenerwise messaging as the sole method for urgent or emergency communication.
Where media-consent controls are available, Family Users may record and update separate consent preferences for different uses of their child's photos and videos. Centers remain responsible for determining what consent is legally required and for honoring applicable consent preferences and legal requirements. Revocations apply prospectively within Tenerwise and do not necessarily remove media previously exported, printed, published, or disclosed outside Tenerwise. Centers remain responsible for their use of media outside Tenerwise.
Where billing or payment features are enabled, the Center determines tuition, fees, discounts, credits, late fees, and the underlying childcare obligation. Tenerwise may facilitate technology and third-party payment processing but is not the provider of childcare services. Payment disputes about the underlying childcare obligation should ordinarily be addressed to the Center. Use of payment functionality may also be subject to additional payment terms, payment authorizations, and applicable third-party payment processor terms presented in connection with that functionality.
If an AI-assisted feature is enabled, outputs may be inaccurate, incomplete, or inappropriate. AI output must be reviewed by an authorized adult before it is relied upon, shared, placed in a child's record, or used to make a decision. AI output is not medical, legal, licensing, safety, or professional advice.
To the extent you have rights or authority to do so, you grant Tenerwise a non-exclusive, worldwide, royalty-free license to host, reproduce, transmit, display, process, modify or transform as technically or functionally necessary to provide the Services or carry out authorized Center or user instructions, and otherwise use content you submit through the Services — only as reasonably necessary to provide, secure, maintain, support, and operate the Services for the Center, comply with the Center's documented instructions, and comply with applicable law. Tenerwise may permit its service providers and subprocessors to exercise those rights only as necessary to provide the Services and subject to applicable contractual restrictions.
You retain any ownership rights you have in your content. Nothing in these User Terms transfers ownership of your personal data or Center Data to Tenerwise.
Access to content through Tenerwise does not give you ownership of or rights to copy, publish, distribute, or use another person's or the Center's content outside the permissions provided through the Services.
If you voluntarily provide product feedback or suggestions, Tenerwise may use them without restriction or compensation, provided Tenerwise does not publicly identify you or the Center as the source without permission.
Tenerwise processes information as described in the Tenerwise Privacy Policy and, for Center-controlled information, under its agreement with the Center and the Tenerwise Data Processing Addendum. Requests concerning Center Data should ordinarily be directed to the Center.
The Center or Tenerwise may suspend or terminate your access when your authorization ends, when reasonably necessary for security or legal compliance, or when you materially violate applicable terms. Termination of your access does not necessarily delete records the Center is entitled or required to retain.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, CONTENT, OUTPUTS, ALERTS, COMMUNICATIONS, AND INFORMATION AVAILABLE THROUGH TENERWISE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TENERWISE DISCLAIMS IMPLIED AND STATUTORY WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, AND NON-INFRINGEMENT.
TENERWISE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SUFFICIENT TO SATISFY ANY CHILDCARE, LICENSING, SAFETY, HEALTH, MEDICAL, SUPERVISION, RECORDKEEPING, OR LEGAL REQUIREMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENERWISE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, BUSINESS OPPORTUNITY, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENERWISE'S AGGREGATE LIABILITY TO YOU ARISING FROM OR RELATING TO THESE USER TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE FEES YOU PAID DIRECTLY TO TENERWISE FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT FIRST GIVING RISE TO THE CLAIM. AMOUNTS PAID TO OR FOR THE BENEFIT OF A CENTER, INCLUDING TUITION, CHILDCARE FEES, DEPOSITS, OR OTHER CENTER CHARGES, ARE NOT FEES PAID TO TENERWISE FOR PURPOSES OF THIS LIMITATION.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
16.1 Governing Law. These User Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except to the extent mandatory law applicable to you provides otherwise.
16.2 Informal Resolution. Except for requests for relief permitted under Section 16.4, or where applicable law requires otherwise, before initiating formal legal proceedings, you and Tenerwise agree to make a good-faith effort to resolve any dispute informally for at least 30 days after written notice. The notice should identify the person making the claim, the email address associated with the account, the applicable Center if relevant, a reasonable description of the dispute, and the relief requested. Notices to Tenerwise must be sent to support@tenerwise.com with the subject line "Legal Notice."
16.3 Court Proceedings. Any dispute that is not resolved through the informal process may be brought in a court of competent jurisdiction. Jurisdiction and venue will be determined in accordance with applicable law. Nothing in these User Terms limits any non-waivable right you may have to bring a claim in another jurisdiction or venue.
16.4 Injunctive Relief. Nothing in these User Terms prevents either party from seeking temporary, preliminary, or other equitable relief where appropriate to protect intellectual property, confidential information, privacy, security, or to prevent unauthorized access to or misuse of the Services.
Tenerwise may update these User Terms to reflect changes in law, security requirements, business practices, or the Services. We will post the updated version with a revised "Last updated" date. We will provide additional notice of material changes when required by law or appropriate under the circumstances. Where required by law, or where Tenerwise determines that affirmative acceptance is appropriate, continued access may require you to review and affirmatively accept the updated User Terms. A material change to Section 16 will apply prospectively from its effective date and will not apply to a dispute of which Tenerwise received written notice before that effective date, unless you and Tenerwise expressly agree otherwise.
Assignment. You may not transfer your account or rights under these User Terms. Tenerwise may assign these User Terms to an affiliate or in connection with a merger, acquisition, reorganization, change of control, financing transaction involving assignment of contractual rights, or sale of all or substantially all of the relevant business or assets.
Severability. If any provision of these User Terms is found unlawful or unenforceable, it will be modified to the minimum extent necessary to make it enforceable where permitted by law or, if that is not possible, severed, and the remaining provisions will remain in full force and effect.
Non-Waivable Rights. Nothing in these User Terms limits, excludes, or waives any right or remedy that cannot lawfully be limited, excluded, or waived under applicable law.
Waiver. Failure to enforce a provision is not a waiver of that provision.
Relationship to Other Terms. The agreement between Tenerwise and the Center governs the Center's commercial use of the Services and its responsibilities concerning Center Data. The Data Processing Addendum governs Tenerwise's processing of Center Data on the Center's behalf; it is an agreement between Tenerwise and the applicable Center and does not make an Authorized User a party to or third-party beneficiary of the DPA except to the extent applicable law expressly provides otherwise. These User Terms govern your individual access to and use of the Services. The Privacy Policy describes Tenerwise's privacy practices. In the event of a conflict, the document governing the particular subject matter controls.
Entire Agreement. These User Terms, together with any additional terms expressly applicable to a feature, transaction, or service that you use and that are presented or otherwise made applicable to you, constitute the agreement between you and Tenerwise regarding your individual use of the Services and supersede prior discussions on that subject.
Electronic Communications. You agree that Tenerwise may provide account, contractual, legal, privacy, and security communications electronically, including by email, in-app notice, or through the Services, to the extent permitted by applicable law. Where applicable law requires additional consent or disclosures for electronic delivery of a particular record, Tenerwise will provide them separately.
Mobile Applications and App Marketplaces. If you download or access a Tenerwise mobile application through Apple App Store, Google Play, or another application marketplace, your use of the application may also be subject to the applicable marketplace's terms, usage rules, and end-user license terms. These User Terms govern your Tenerwise account and use of the Tenerwise Services and do not replace non-waivable terms imposed by the applicable application marketplace.
